Welcome to AyeWork, an AI-powered volunteer and workforce engagement platform operated by AyeWork ("AyeWork," "we," "our," or "us").

These Terms of Service ("Terms") govern your use of the Platform, including its website, applications, and related services (collectively, the "Platform").

By creating an account, using our Platform, or clicking "I Agree," you acknowledge that you have read, understood, and agreed to be bound by these Terms. If you do not agree, please do not use the Platform.

To use the Platform, you must:

• Have the legal capacity to enter into a binding agreement, or, if you are a minor, be authorized and supervised by a parent, guardian, school, or program administrator who agrees to these Terms on your behalf.
• Provide accurate and truthful information.
• Use the Platform in compliance with all applicable Canadian federal, provincial, and municipal laws.

AyeWork acts as a facilitator connecting volunteers, students, and job seekers ("Users") with employers, schools, and community organizations ("Organizations") for volunteer and work opportunities.

AyeWork does not employ, control, or supervise any User or Organization, and AI-generated matches are recommendations only.

All engagements between Users and Organizations are independent arrangements made directly between those parties.

AyeWork is not a party to any such arrangement and is not responsible for wages, hours, placements, taxes, insurance, or benefits.

To access certain features, you must create an account and provide accurate, current, and complete information. You agree to:

• Keep your login credentials secure and confidential.
• Update your information as needed.
• Accept responsibility for all activity under your account.

We reserve the right to suspend or terminate accounts suspected of misuse, fraud, or violation of these Terms.

You agree not to:

• Post false, misleading, or fraudulent information.
• Use the Platform for any illegal or harmful purpose.
• Harass, threaten, discriminate against, or abuse other users.
• Share or sell others’ personal data obtained through the Platform.
• Attempt to hack, interfere with, or damage the Platform.

Violation of these rules may result in suspension or permanent termination of your account.

AyeWork may charge Organizations a subscription or service fee for access to certain features. Core participation for volunteers and students is provided free of charge unless stated otherwise.

Any applicable fees will be displayed before confirmation, are in Canadian dollars (CAD) unless otherwise stated, and may be modified at our discretion with advance notice.

The Platform uses AI to suggest relevant opportunities and connections based on the information provided. These suggestions are recommendations only.

AyeWork does not guarantee any placement, opportunity, role, outcome, or result, and you are responsible for evaluating and verifying any opportunity, organization, or individual you engage with.

You retain ownership of the content you submit. By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to host, store, and display it as needed to operate the Platform.

You agree to provide truthful, respectful feedback. We reserve the right to remove abusive or defamatory content, and in-app communications may be logged for safety and dispute resolution.

AyeWork may require users to undergo identity or hour verification, including ID, references, or background checks where applicable. Users consent to such verification as part of onboarding.

While we implement safety features, we cannot guarantee the conduct of users or organizations. Always use good judgment when engaging with others.

All content, software, trademarks, and logos on the Platform are owned or licensed by AyeWork.

You may not copy, reproduce, distribute, or create derivative works without our prior written consent.

Your use of the Platform is governed by our Privacy Policy, which explains how we collect, use, and protect your information. By using the Platform, you consent to those data practices.

We may suspend or terminate your account for any violation of these Terms, illegal activity, or misuse of the Platform.

Upon termination, your right to access the Platform ceases immediately. Provisions that by their nature should survive termination will continue to apply.

The Platform is provided "as is" and "as available" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Platform will be uninterrupted, error-free, or secure, or that matches will meet your expectations.

To the fullest extent permitted by law, AyeWork shall not be liable for:

• Loss of profits, data, opportunities, or reputation;
• Injury or property damage;
• Any indirect or consequential losses resulting from use of the Platform.

Our total aggregate liability shall not exceed the amount of fees you paid to us, if any, in the past six (6) months.

You agree to indemnify and hold harmless AyeWork, its affiliates, and its employees against any claim, loss, or damage resulting from your use of the Platform, your violation of these Terms, or your interactions with other users or organizations.

AyeWork may update these Terms periodically.

Updated versions will be posted on our website with a new Effective Date.

Continued use after updates constitutes acceptance of the revised Terms.

These Terms shall be governed by the laws of the Province of Ontario and the laws of Canada applicable therein.

Any disputes shall be resolved exclusively in the courts of Windsor, Ontario.
